1. Parties and Acceptance
This Business Master Services Agreement ("Agreement" or "MSA") is entered into between:
Rapid Global Recruitment & Travel Ltd, a company incorporated in the Republic of Ghana under registration number CS191030926 ("Rapid Global", "Company", "we", "us" or "our");
and
The business, recruitment agency, employer, organization or other authorized commercial customer accepting this Agreement ("Business Customer", "Partner" or "Customer").
A person accepting this Agreement on behalf of an organization represents that they have the legal authority to bind that organization.
Acceptance may occur through an authorized electronic acceptance process, a signed agreement or another legally valid method.
This Agreement applies together with any applicable:
- Partner Commercial Agreement
- Approved Service Order
- Recruitment Agreement
- Pricing Schedule
- Data Processing Agreement
- Privacy & Data Protection Policy

Where a separately signed agreement expressly overrides a provision of this MSA, the agreed written provision shall take precedence, subject to mandatory law.

Rapid Global may conduct proportionate business verification before approving or maintaining access.
The Company may decline or restrict a business relationship where legitimate eligibility, legal or security concerns cannot reasonably be resolved.

Rapid Global does not guarantee:
- Selection by an employer
- Issuance of an employment offer
- Approval of a work permit
- Approval of a visa
- Entry into another country
- Employment commencement on a specific date
Employment and immigration decisions remain subject to the relevant employer, government authority or other authorized decision-maker.
Where regulated immigration or legal advice is required, it must be provided by an appropriately authorized professional.
Rapid Global shall not represent itself as holding a licence or authorization that it has not obtained.
6. Business Accounts and Authorized Users
Business Customers are responsible for ensuring that their account users are properly authorized.
Each user should have an individual account where supported.
Business Customers must:
- Protect login credentials
- Maintain accurate account information
- Restrict unauthorized access
- Notify Rapid Global of suspected compromise
- Remove access for departed representatives
- Comply with assigned account permissions
The Business Customer is responsible for acts and omissions of its representatives to the extent permitted by law.
Rapid Global may apply reasonable account-security requirements.
7. Partner Portal Access and Permissions
Approved Partners may receive access to relevant Platform functions.
These may include:
- Assigned job opportunities
- Partner candidate management
- Recruitment-stage tracking
- Document submission
- Payment records
- Receipts
- Commercial pricing information
- Commission information
- Notifications
Access is limited to the Partner's authorized activities and information.
A Partner must not access another Partner's records or internal Rapid Global candidate information without authorization.
Rapid Global may modify permissions for legitimate security, operational or contractual reasons.
8. Candidate Submission and Authorization
Partners submitting candidates must have a lawful basis to collect and disclose candidate information.
Partners must provide accurate information and must not submit:
- Fictitious candidates
- Forged documents
- Stolen identity records
- Materially misleading qualifications
- Candidate profiles without appropriate authorization
Rapid Global may request evidence of the Partner's authority to submit a candidate.
Candidate information shall be processed in accordance with applicable data-protection requirements.
9. Candidate Attribution and Record Management
Where the Platform identifies a candidate as submitted by a Partner, that attribution shall be maintained for operational and commercial purposes unless legitimately corrected.
A Partner does not acquire ownership of a candidate's personal information or restrict the candidate's legal rights.
Rapid Global shall seek to avoid duplicate candidate records and conflicting Partner attribution.
Where two Partners claim the same candidate, Rapid Global may review relevant submission dates, candidate authorization and other appropriate evidence.
Any commission or attribution dispute shall be determined according to the applicable commercial agreement and a fair review of the available evidence.
10. Recruitment Stages and Status Updates
Recruitment progress may be displayed through defined stages.
Examples include:
- Candidate registration and application
- Preliminary screening
- Eligibility assessment
- Document review
- Employer matching
- Employer interview
- Offer review
- Work-permit processing
- Visa application
- Visa decision
- Travel preparation
- Deployment
- Case completion
The exact stages may vary by destination, vacancy or service.
Stage information reflects the recorded case status and does not independently guarantee an employer or government decision.
Only authorized personnel may make official status changes.
11. Pricing and Commercial Models
Rapid Global may offer different commercial arrangements.
11.1 Main Price Plus Commission
Rapid Global establishes an approved service price.
Where agreed, an eligible Partner may receive a commission under a separate commercial schedule.
11.2 Net Agency Price Plus Partner Markup
Rapid Global establishes the amount payable to the Company.
A Partner may apply a separately identified markup only where permitted by applicable law and the approved partnership arrangement.
The Partner's markup must not be represented as an official Rapid Global charge unless expressly authorized.
11.3 Individual Commercial Agreements
Rapid Global may establish different commercial terms for individual Partners, employers or projects.
These terms must be documented and authorized.
11.4 Pricing Transparency
The applicable Service Order should identify:
- Service description
- Agency Price
- Any lawful Partner commission or markup
- Currency
- Payment milestones
- Included services
- Excluded charges
- Relevant taxes
- Refund conditions
No unpublished charge shall automatically become payable merely because it appears in an internal system.
12. Recruitment Fees and Ethical Recruitment
All recruitment-related charges must comply with applicable Ghanaian law, destination-country law and other mandatory requirements.
Partners must not impose unlawful recruitment fees on workers.
Where employer-pays requirements or recruitment-fee prohibitions apply, those requirements take precedence over any pricing or markup arrangement.
Partners must not conceal charges, fabricate government fees or demand unauthorized payments.
Rapid Global may investigate suspected unlawful fee collection and take proportionate corrective action.
13. Payment Milestones
Where agreed, payments may be structured into stages.
An example arrangement is:
Stage One — Application and Documentation
Services may include registration, preliminary review, documentation, eligibility assessment and agreed application administration.
Stage Two — Employment and Permit Processing
Services may include coordination relating to employer documentation, employment offers, work permits or other agreed activities.
Stage Three — Visa, Travel and Completion
Services may include agreed visa-stage coordination, travel arrangements and final administrative services.
The amount and trigger for each payment must be stated in the applicable Service Order.
A payment milestone is not automatically earned merely because a label appears in the Platform.
Invoices should reflect the relevant contractual milestone and actual services.
14. Invoices, Receipts and Payment Records
Rapid Global may issue invoices and receipts through authorized systems.
Payments may be recorded as:
- Pending
- Submitted for verification
- Approved
- Rejected
- Reversed
- Refunded
A Partner's submitted payment record does not constitute confirmation that funds have been received.
Only an authorized Company confirmation establishes the recorded payment status.
Official receipts shall be issued according to applicable financial and accounting procedures.
Partners must not alter or fabricate Rapid Global receipts.
15. Commissions and Partner Earnings
Commissions shall be governed by an approved written commercial arrangement.
The arrangement should specify:
- Eligible transactions
- Commission percentage or amount
- Calculation basis
- Payment trigger
- Payment currency
- Settlement timetable
- Applicable adjustments
- Treatment of refunds and reversals
A Partner's displayed estimated earnings do not necessarily constitute an immediately payable debt.
Commissions become payable only when the relevant contractual conditions are satisfied.
Rapid Global shall not arbitrarily withhold a commission that has become legally due.
Any bonus or incentive program must have separately documented eligibility conditions.
16. Partner Markup and Separate Financial Responsibility
Where Partner markup is permitted, the Partner must clearly distinguish its own lawful charges from the Agency Price payable to Rapid Global.
A Partner must not:
- Misrepresent the Agency Price
- Hide unlawful charges
- Falsify Rapid Global invoices
- Collect unauthorized government fees
- Promise guaranteed immigration outcomes
- Use misleading payment instructions
Responsibility for a separately agreed Partner charge shall be allocated according to applicable law and the relevant agreement.
No arrangement may be used to circumvent mandatory worker protections.
17. Refunds and Cancellations
Refunds and cancellations shall be governed by:
- Mandatory applicable law
- The relevant signed service agreement
- Rapid Global's applicable Refund & Cancellation Policy
Where Ghana's Labour Act, 2003 (Act 651), including section 7(7), applies to a recruitment placement, the statutory refund requirements shall be respected.
No provision of this MSA authorizes automatic forfeiture of all payments merely because a recruitment stage has been reached.
Documented third-party costs may be considered only where legally and contractually permissible.
Candidate statutory rights shall not be waived through a Partner agreement.
18. Employer Verification and Vacancy Authenticity
Rapid Global and its Partners shall take reasonable steps appropriate to their roles to verify recruitment opportunities.
Partners must not publish fictitious vacancies or present unverified employment documents as genuine.
Employer information should be reviewed for legitimacy, authority and consistency with the proposed employment conditions.
Material changes to salary, job role, location or other employment conditions should be communicated appropriately.
Rapid Global may suspend an opportunity where serious authenticity or compliance concerns arise.
19. Visa and Immigration Processing
Visa and immigration decisions are made by the relevant competent authorities.
Rapid Global and its Partners must not:
- Guarantee approval without a lawful and factual basis
- Fabricate immigration documentation
- Misrepresent embassy requirements
- Falsify appointment confirmations
- Submit knowingly inaccurate information
- Encourage unlawful immigration activity
Each party shall cooperate with lawful verification and documentation requirements.
20. Data Protection and Privacy
Each party shall comply with applicable data-protection laws, including Ghana's Data Protection Act, 2012 (Act 843), where applicable.
The parties acknowledge that their respective data-protection roles depend on the actual processing activity.
Rapid Global may act as a controller for its own candidate registration, recruitment administration and financial records.
A Partner or Employer may act as an independent controller for information it collects or uses for its own purposes.
Where one party processes personal information solely on behalf of another, appropriate processor terms shall apply.
No provision automatically classifies Rapid Global as a processor for all Business Customer data.
21. Data Processing and International Transfers
The parties shall implement appropriate safeguards for personal information.
Candidate information shall be shared only with authorized recipients for legitimate purposes.
Where information is transferred internationally, the parties shall comply with applicable transfer requirements.
Where necessary, a separate Data Processing Agreement shall address:
- Processing instructions
- Confidentiality
- Security measures
- Subprocessors
- International transfers
- Security incidents
- Data-subject requests
- Return or deletion of information
22. Confidentiality
Each party shall protect the other party's Confidential Information against unauthorized use or disclosure.
Confidential Information may include:
- Partner commercial terms
- Candidate information
- Employer information
- Pricing arrangements
- Business plans
- Platform technical information
- Financial records
- Recruitment documentation
Information may be disclosed where necessary to perform the Agreement, with appropriate authorization or where legally required.
Confidentiality obligations survive termination for five years, except where longer protection is required by law or the nature of personal data and trade secrets.
23. Intellectual Property
Rapid Global retains its rights in its original website, software, branding, designs, documentation and other protected materials.
Business Customers receive a limited, non-exclusive, non-transferable right to use authorized Platform functions during the applicable service period.
Business Customers retain their applicable rights in materials they lawfully provide.
Candidates retain their applicable rights in their personal information and documents.
Nothing in this Agreement transfers ownership of candidate personal information to a Partner.
24. Platform Availability and Maintenance
Rapid Global shall use reasonable efforts to maintain the availability and functionality of its digital services.
Temporary interruptions may occur because of maintenance, hosting issues, security incidents or circumstances beyond reasonable control.
Unless expressly stated in a separate Service Level Agreement, Rapid Global does not guarantee a particular percentage of uptime.
Material disruptions shall be addressed within commercially reasonable operational capabilities.
25. Acceptable Use and Security
Business Customers and Authorized Users must comply with Rapid Global's Acceptable Use & Platform Security Policy.
Prohibited activities include:
- Unauthorized access
- Credential sharing
- Fraudulent document submission
- Payment manipulation
- Malicious software uploads
- Unlawful data harvesting
- Security bypass attempts
- Harassment
- Unlawful recruitment practices
Rapid Global may take proportionate protective action where a genuine security or compliance risk exists.
26. Customer and Partner Responsibilities
Business Customers must:
- Provide accurate information
- Maintain appropriate business authorization
- Cooperate with legitimate verification
- Protect candidate information
- Use Platform access responsibly
- Meet agreed payment obligations
- Respect recruitment and immigration laws
- Promptly report suspected fraud or security incidents
- Avoid misleading candidates or employers
Each party remains responsible for its own unlawful conduct and contractual breaches.
27. Non-circumvention and Commercial Protection
During an active recruitment assignment, the parties shall not intentionally use confidential information obtained solely through the relationship to dishonestly evade agreed and lawful payment obligations.
This provision does not prevent:
- Candidates from choosing an employer or agency
- Lawful direct employment
- Pre-existing business relationships
- Independent recruitment activities
- Conduct protected by competition or employment law
Any specific non-circumvention period, scope or remedy must be reasonable, lawful and expressly agreed in the relevant commercial schedule.
28. Suspension and Termination
Either party may terminate an ongoing commercial relationship according to the applicable Service Order or agreed notice provisions.
Rapid Global may suspend access where reasonably necessary to address:
- Serious security risks
- Suspected fraud
- Material contractual breaches
- Unlawful activity
- Unauthorized data disclosure
- Material payment default
Where a breach can reasonably be remedied, the affected party should ordinarily receive written notice and an appropriate opportunity to cure.
Immediate action may be taken where necessary to prevent serious harm or unlawful activity.
Termination does not automatically cancel all pending candidate obligations or extinguish accrued legal rights.
29. Data Return and Account Closure
Following termination, the parties shall cooperate in the lawful handling of relevant business and candidate records.
Where technically feasible and legally appropriate, Rapid Global may provide an authorized export or transfer of eligible Customer Data.
Personal information belonging to candidates shall not be disclosed merely because a Partner requests an unrestricted export.
Records may be retained where necessary for legal, financial, contractual or dispute-resolution purposes.
Account closure shall not automatically result in immediate deletion of all records.
30. Limitation of Liability
Neither party shall be liable for losses to the extent caused solely by circumstances outside its legal responsibility.
Subject to applicable law, neither party shall be liable for remote or unforeseeable consequential losses arising from an ordinary contractual breach.
Any separately agreed financial liability cap shall be reasonable, clearly disclosed and subject to mandatory legal restrictions.
Nothing in this Agreement excludes or limits liability where doing so would be unlawful, including liability for fraud, deliberate misconduct or other non-excludable obligations.
Rapid Global does not control independent immigration or employer decisions, but remains responsible for its own legally actionable conduct.
31. Indemnification
Each party shall be responsible for losses, claims and liabilities arising from its own unlawful conduct, fraud, material contractual breach or unauthorized disclosure of information, to the extent permitted by applicable law.
Where an indemnity is agreed, it shall apply only to losses reasonably attributable to the indemnifying party's conduct and shall be subject to appropriate notice, cooperation and mitigation requirements.
No indemnity shall remove a party's mandatory legal responsibilities.
32. Force Majeure
Neither party shall be treated as in breach solely because performance is prevented or materially delayed by events beyond its reasonable control, including major natural disasters, war, widespread infrastructure failure or government restrictions.
The affected party shall notify the other party within a reasonable period and take appropriate steps to mitigate the impact.
Force majeure does not automatically cancel accrued payment obligations or mandatory refund rights.
33. Dispute Resolution
The parties shall first attempt to resolve contractual disputes through good-faith written communication.
Where practical, the parties should seek resolution within 30 calendar days after formal notice of the dispute.
If no resolution is reached, either party may pursue available lawful remedies.
Nothing prevents urgent legal action, regulatory reporting or exercise of a mandatory statutory right.
34. Governing Law and Jurisdiction
This Agreement shall generally be governed by the laws of the Republic of Ghana, subject to mandatory laws applicable to particular recruitment activities, overseas employment arrangements, data processing or other transactions.
Unless a valid separate written agreement provides otherwise, disputes shall be subject to the jurisdiction of the competent courts of Ghana.
Mandatory rights and remedies under other applicable laws shall remain unaffected.
35. Changes to This Agreement
Rapid Global may propose updates to these Business Terms.
Material changes affecting existing contractual rights or obligations shall be communicated appropriately.
Where a change requires renewed agreement, Rapid Global shall obtain valid acceptance.
Updates shall not retrospectively extinguish accrued rights without a lawful basis.
The Company shall maintain appropriate version records.
36. General Provisions
Entire Agreement: This MSA, together with applicable Service Orders and incorporated documents, constitutes the agreement for the relevant services.
Severability: If a provision is found unenforceable, the remaining provisions shall continue where legally possible.
Assignment: Neither party may transfer material contractual obligations without appropriate authorization, except where permitted by law or agreement.
Independent Contractors: Unless expressly stated otherwise, the parties operate as independent businesses.
No Automatic Agency Authority: A Partner does not acquire authority to legally bind Rapid Global merely by receiving Platform access.
Electronic Records: Electronic agreements and records may be used where legally valid.
Notices: Formal notices shall be delivered through authorized contact details or other agreed communication channels.
Survival: Provisions relating to confidentiality, accrued payment obligations, data protection, intellectual property, disputes and other matters intended to survive termination shall continue as applicable.
